Published by Emailmovers Limited, company 05046417, registered office 33-35 Exchange Street, Driffield YO25 6LL. ICO registration Z9714386. VAT number GB815306256.

This version lives at emailmovers.com/terms-of-sale/ and, once a later version replaces it, at emailmovers.com/terms-of-sale/v1/.

1. About these terms

1.1 These terms apply when your organisation buys credits, a credit pack or a subscription in MyDataHub at mydatahub.emailmovers.com, through the app, the API or the MCP server.

1.2 They are a contract between Emailmovers Limited (“we”, “us”) and the organisation that holds the MyDataHub account (“you”).

1.3 Two further agreements sit beside these terms:

  • the Data Licence and Sharing Agreement, which governs how you may use the records you order. You accept it each time you order, and when you make an agent key that can order;
  • the Data Processing Agreement, which governs our processing of your own data, such as a suppression list you upload or a CRM you connect. You accept it before we first process that data.

1.4 If these terms and the Data Licence and Sharing Agreement differ about how you may use records, the Data Licence and Sharing Agreement wins. If they differ about our processing of your own data, the Data Processing Agreement wins.

1.5 Customers of today’s MyDataHub at app.mydatahub.uk carry on under their current agreements. These terms apply to them only for purchases they make in the new MyDataHub.

2. Definitions

2.1 In these terms:

  • account means your organisation’s MyDataHub account and the people and agent keys in it;
  • agent key means a key that lets software, such as an AI assistant, use the API or the MCP server for you, within a budget a person in your account sets;
  • credit means the unit you spend on records. One credit buys one complete UK record, delivered once;
  • credit pack means 40,000 credits bought in one purchase;
  • order means a confirmed request to deliver records in exchange for credits;
  • quote means either a machine quote (the price of an order, returned by the app, the API or the MCP server, valid for 24 hours and tied to one version of the dataset) or a sales quote (a priced proposal from our team, valid for 14 days). We say which one we mean where it matters;
  • record means the data about one business contact that we deliver under an order;
  • licence means the 12-month licence that comes with each record, set out in clause 13 and in the Data Licence and Sharing Agreement.

3. Who can buy

3.1 We sell to UK businesses only, for business purposes. You may not buy as a consumer.

3.2 By buying, the person placing the order confirms that they are buying for the business named in the account, and that they have authority to bind it.

3.3 You open an account with a work email address. We refuse personal email domains.

3.4 Before your organisation’s first order, free or paid, an owner of the account must confirm the business name and that it is a UK business. A UK billing address is needed at checkout.

3.5 We may refuse an account or an order where we believe the buyer is not a UK business, the information given is false, or the use intended would break the law or the Data Licence and Sharing Agreement.

4. Your account

4.1 You sign in with a link we email to you. Keep access to your email account secure, as anyone who controls it can sign in as you.

4.2 You are responsible for everything done through your account, including by agent keys. A person in your account sets each agent key’s monthly budget and limit per order. We stop an agent key’s orders at those limits.

4.3 A setting in an AI tool that claims an order is confirmed is not consent. A paid action needs a machine quote and either a confirmation from a person in your account or an agent key whose budget covers it.

4.4 Your account records which versions of these terms, the Data Licence and Sharing Agreement, the Data Processing Agreement and our privacy notice you accepted, and when.

4.5 We may suspend your account if we reasonably suspect fraud, misuse, a security risk or a breach of these terms. Where we can, we tell you first and give you a chance to put it right.

5. What you buy, and what is free

5.1 You buy credits. One credit buys one complete UK record, delivered once, at the same price in the app, the API and the MCP server.

5.2 Counts, breakdowns, masked samples (previews in the API) and quotes are free.

5.3 We never charge for:

  • a failed lookup;
  • a duplicate;
  • a suppressed record;
  • a record you already hold, found by the overlap check before an order;
  • a re-download or refresh of a record still under licence.

5.4 The first account for each company email domain receives 100 free credits, once, with no card needed.

6. Quotes and orders

6.1 A machine quote states the price of an order before you pay. It lasts 24 hours and applies to the dataset version it names. Each quote leads with the cheapest way to buy the credits the order needs.

6.2 An order is made when you confirm it and we accept it. We accept it by spending the credits and starting delivery.

6.3 The number of records in an order can be lower than the count it came from, because suppressions and checks run again at delivery. We charge credits only for records we deliver.

6.4 We may refuse or stop an order if we believe its use would break the law or the Data Licence and Sharing Agreement. If we stop an order after spending credits, we restore the credits for records not delivered.

7. Prices and VAT

7.1 Prices are in pounds sterling and exclude VAT. We add VAT at the UK rate, 20 percent today, at checkout.

7.2 Records at the per-contact scale, with no minimum order:

Credits bought in one purchase Price a record
Up to 9,999 25p
10,000 to 24,999 22p
25,000 to 49,999 19.5p
50,000 and over 17p

7.3 The number of credits you buy, after any balance you already hold, picks one band, and every credit in that purchase is at that band’s price.

7.4 A credit pack is 40,000 credits for £1,249, bought once.

7.5 A subscription is £500 a month on a 12-month contract, with 2,000 records a month. See clause 10.

7.6 Customers already on pay as you go (£299 a month for 1,000 credits) or the 12-month plan (£249 a month) keep those prices. We no longer sell either plan to new customers.

7.7 A change to our prices does not affect credits you have already bought or a quote that is still valid.

8. How you pay

8.1 You pay for credits and credit packs by card, including Apple Pay and Google Pay, through Stripe Checkout. Stripe handles your card details; we do not receive your full card number. We do not take bank transfers for credits or credit packs.

8.2 Credits reach your account when the payment succeeds. We email a receipt for each card purchase.

8.3 The subscription is invoiced. Each invoice is payable on receipt.

9. Credits

9.1 Credits from a credit pack never expire.

9.2 The 100 free credits never expire.

9.3 Credits belong to the organisation that bought them. They have no cash value and cannot be moved to another organisation, except with the business itself: if another organisation takes over your business, we move your credits to it once you both ask us in writing.

10. The subscription

10.1 The subscription runs for 12 months from its start date, at £500 a month, with 2,000 records a month.

10.2 Each month’s records are for that month only. Records not used in a month are lost and do not roll over.

10.3 Records you need beyond a month’s 2,000 cost the cheapest purchase in the quote, at the scale or with a credit pack.

10.4 We set the subscription up with you directly. It is not bought in the app.

10.5 At the end of the 12 months, the subscription renews for a further 12 months unless you or we give written notice at least 30 days before the end. We email your account’s owner at least 60 days before the end with the price for the renewal. If we have raised the price and you do not want to renew, give notice before the 30-day point.

11. Cancelling, and refunds

11.1 Credits, credit packs and subscriptions cannot be cancelled or refunded once bought if you change your mind. No plan has a pro rata refund.

11.2 If something goes wrong because of us, we put it right. For example, if we charge you in error, fail to deliver records you paid for, or deliver records that do not match the order, we will, at our choice, deliver or replace the records, restore your credits, or refund what you paid for the part affected.

11.3 If you end your contract because we have seriously broken these terms and not put it right within 30 days of your written notice, we refund what you paid for credits you have not used, at the price you paid for them, and you owe nothing for any month of a subscription after the end. We do not refund free credits.

11.4 Nothing in this clause takes away a refund the law requires.

11.5 If you signed an agreement with us before these terms, its own refund terms apply until it renews.

12. Delivery

12.1 We deliver an order as a CSV download and, if you set them up, by signed webhooks. You can also receive records through the API and the MCP server.

12.2 Download links last 15 minutes from the app and 5 minutes from the API, work once and are tied to your account. We never send them by email.

12.3 We aim to deliver quickly, and the app shows an order’s progress. Delivery times are estimates.

13. The licence for each record

13.1 Each record you order comes with a 12-month multi-use licence:

  • you may use it for business-to-business marketing by email, telephone and post;
  • the licence runs until 12 months after the order date. Until then you may download the record again and refresh it free;
  • you may not resell the data, share it with anyone except people working for you on your own marketing, or build it into a product or service that you sell or give to others.

13.2 When a record’s licence ends, refreshes stop. You may keep records whose person has responded to you, as the Data Licence and Sharing Agreement defines it. You must destroy the others, as it sets out. Ordering a record again costs 1 credit.

13.3 The Data Licence and Sharing Agreement sets out the licence in full, with your data protection duties. You accept it each time you order.

14. What we check, and what stays your responsibility

14.1 Email. By default an order delivers corporate subscribers only: people at companies, LLPs, Scottish partnerships and public bodies. Each record carries its subscriber class. A count warns you if your audience asks for individual or unknown subscribers, such as sole traders, whom you may not email for marketing without their consent.

14.2 Suppression. We apply our master suppression file before every data build and keep it up to date each night.

14.3 Telephone screening is a service. We screen every telephone number against the TPS and the CTPS each night through a licensed UK screening service. Each number carries its status and the date of that screen.

14.4 A screen shows a number’s status on its screen date. It is not a promise about the number’s status on the day you call. You decide whether and when to call, so you stay responsible for meeting the Privacy and Electronic Communications Regulations 2003.

14.5 The law protects a caller only where a number has been on the register for less than 28 days before the call. So rely on a clear result only for calls made within 27 days after its screen date. To call later, refresh the record in MyDataHub, which is free while the licence runs, to get the latest status, or screen the number yourself.

14.6 Do not call a number that is registered on the TPS or the CTPS unless that subscriber has told you they do not object to your calls. Keep your own list of people who have asked you not to call, and screen against it.

14.7 Accuracy. We verify and update our data all the time, but people change jobs and details change. We do not promise that every record is complete or correct, or that the data suits a particular purpose. Clause 15 is our promise about email deliverability.

15. Our warranty on hard bounces

15.1 If more than 10 percent of the email addresses in an order hard bounce, we replace the hard-bounced records above that 10 percent with records from the same audience. Where we cannot find enough replacements, we restore 1 credit for each record we could not replace.

15.2 A hard bounce is a permanent failure to deliver because the address or its domain does not exist.

15.3 The warranty covers email you send yourself, through your own systems or a provider you choose.

15.4 To claim, tell us in writing within 30 days of delivery and send a bounce report or an export from your sending system that shows the hard bounces.

15.5 We also warrant that we compile our data in line with UK data protection law and the Privacy and Electronic Communications Regulations 2003, and that we have the right to license it to you.

15.6 We give no other warranty about the data or the results of using it, except as these terms or the Data Licence and Sharing Agreement say.

16. Your responsibilities

16.1 You will:

  • give us accurate information and keep it up to date;
  • use MyDataHub, the API and the MCP server lawfully and within any published limits;
  • not copy our data except through orders, nor try to rebuild it from counts, breakdowns or samples;
  • not try to get round our security, limits or charging;
  • keep to the Data Licence and Sharing Agreement.

17. Liability

17.1 Nothing in these terms limits or excludes liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for anything else the law does not allow to be limited or excluded.

17.2 Neither of us is liable to the other for loss of profit, revenue, business, contracts, goodwill or anticipated savings, or for indirect or consequential loss, however it arises. This does not limit your duty to pay us, or clause 17.5.

17.3 Subject to clauses 17.1 and 17.4, our total liability to you under or in connection with these terms, the Data Licence and Sharing Agreement and the Data Processing Agreement, in each 12-month period starting on the date of your first order, is limited to the charges you paid or must pay us in that period.

17.4 For claims about data protection, meaning a breach of data protection law or of the data protection terms of the Data Licence and Sharing Agreement or the Data Processing Agreement, the same limit as in clause 17.3 applies.

17.5 You are responsible for your use of the data and for the content of your messages. You will make good our losses, including fines, reasonable legal costs and claims by others, that arise from your breach of these terms or the Data Licence and Sharing Agreement, or of data protection law in your use of the data.

17.6 We are not liable for a delay or failure caused by events beyond our reasonable control. If such an event lasts more than 30 days, either of us may end the affected order and we restore the credits for records not delivered.

18. Ending the contract

18.1 You may close your account at any time. Closing it does not refund credits, except as clause 11 says.

18.2 We may suspend or close your account, or stop deliveries and refreshes, if you seriously break these terms or the Data Licence and Sharing Agreement, fail to pay an invoice when due, or use the data unlawfully.

18.3 When the contract ends, the licence terms and data protection duties for records you hold continue until the Data Licence and Sharing Agreement’s duties are met.

19. Complaints

19.1 If something goes wrong, tell us. Email [email protected] about a purchase, or [email protected] about personal data, or call 01723 800030. Our complaints page, emailmovers.com/complaints/, explains what happens next.

19.2 We acknowledge every complaint within 24 hours, or by the end of the next working day if it reaches us at a weekend or on a bank holiday.

20. Changes to these terms

20.1 We may change these terms. For a material change, we email the account holders of every account at least 30 days before it takes effect.

20.2 Each version has its own URL. Earlier versions stay at stable archive URLs, such as emailmovers.com/terms-of-sale/v1/ for this one.

20.3 A new version applies to purchases and orders made on or after its effective date. It does not change the licence of records you have already ordered, or credits already bought.

20.4 If you do not accept a new version, stop buying before it takes effect. Credits you hold stay usable under the version in force when you bought them.

21. General

21.1 These terms, the Data Licence and Sharing Agreement, the Data Processing Agreement and each quote and order are the whole agreement between us about MyDataHub purchases. Neither of us relies on any statement not set out in them, but this does not limit liability for fraud.

21.2 You may not transfer your rights under these terms without our written consent. We may transfer ours to a buyer of our business, and will tell you if we do.

21.3 No one else has rights under these terms under the Contracts (Rights of Third Parties) Act 1999.

21.4 If a court finds part of these terms unenforceable, the rest stays in force.

21.5 If we do not enforce a right straight away, we can still enforce it later.

21.6 We send notices to the email address of your account’s owner. Send notices to us at [email protected], or by post to our registered office.

22. Law and courts

22.1 English law governs these terms and any dispute about them, including a non-contractual dispute.

22.2 The courts of England and Wales have exclusive jurisdiction.
